By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access our services.
2. Services Provided
We offer a range of software development services, including but not limited to:

- Software Testing and Quality Assurance

The specific services to be provided will be outlined in a separate service agreement or statement of work (SOW) between GCTL INFOSYS and the client.
3. Service Agreements
All services provided by GCTL INFOSYS will be governed by a service agreement or statement of work (SOW) signed by both parties. This agreement will detail the scope of work, project timelines, deliverables, payment terms, and any other relevant details.
4. Payment Terms
Payment terms will be outlined in the service agreement or SOW. All payments are due as per the agreed schedule, and any late payments may incur interest charges at a rate specified in the agreement. We reserve the right to suspend or terminate services if payments are not received in accordance with the agreed terms.
5. Client Responsibilities
The client is responsible for providing all necessary information, resources, and access to systems required for GCTL INFOSYS to perform the agreed services. The client is also responsible for reviewing and approving deliverables within a reasonable time frame.
6. Intellectual Property
All intellectual property rights related to the software, including but not limited to code, designs, algorithms, and documentation, developed by GCTL INFOSYS will remain the property of GCTL INFOSYS until full payment is received. Upon receipt of full payment, ownership of the software will be transferred to the client as per the terms outlined in the service agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. This includes, but is not limited to, trade secrets, business plans, customer data, and any other non-public information. Confidential information will not be disclosed to any third party without prior written consent, except as required by law.
8. Warranties and Disclaimers
GCTL INFOSYS warrants that the software developed will substantially conform to the agreed specifications. However, we do not guarantee that the software will be error-free or operate without interruptions. All other warranties, express or implied, including but not limited to the warranties of merchantability and fitness for a particular purpose, are disclaimed.
9. Limitation of Liability
In no event shall GCTL INFOSYS be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, incurred by the client or any third party, arising out of or related to the services provided. Our total liability under these Terms shall not exceed the total amount paid by the client for the services.
10. Termination
Either party may terminate the service agreement with written notice if the other party breaches any material term and fails to remedy the breach within a specified period. Upon termination, the client shall pay for all services rendered up to the date of termination. GCTL INFOSYS reserves the right to retain any deliverables until full payment is received.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of GCTL INFOSYS. Any disputes arising out of or relating to these Terms or the services provided shall be resolved in the courts of GCTL INFOSYS.
12. Amendments
GCTL INFOSYS reserves the right to amend these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website or notifying the client. Continued use of our services after such changes will constitute acceptance of the revised Terms.
13. Entire Agreement
These Terms, together with the service agreement or SOW, constitute the entire agreement between the parties and supersede any prior agreements, understandings, or communications, whether written or oral, regarding the subject matter.
